Welcome to SoloAce.

These Terms of Service ("Terms") govern your access to and use of the SoloAce platform, website, applications, AI-powered features, integrations, and related services (collectively, the "Service").

By accessing or using SoloAce, you agree to these Terms. If you do not agree, you should not use the Service.

1. About SoloAce

SoloAce is an AI-powered business operating and decision-support platform designed for solo entrepreneurs, freelancers, founders, and independent professionals.

SoloAce may help users organize business information, identify important signals, manage workflows, analyze information, prioritize activities, and receive AI-assisted recommendations.

Certain features may connect to third-party services, including Google services, when authorized by the user.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use SoloAce.

If you use SoloAce on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.

3. User Accounts

Certain SoloAce features may require you to create an account.

You are responsible for:

Providing accurate account information;
Maintaining the confidentiality of your account credentials;
Protecting access to your account;
Keeping your account information reasonably up to date; and
Activities performed through your account where attributable to your access or authorization.

You must notify us if you become aware of unauthorized access to your SoloAce account.

4. Third-Party Integrations

SoloAce may allow users to connect third-party services, including services provided by Google and other productivity or business platforms.

Connecting a third-party service is optional unless a particular SoloAce feature specifically requires that integration.

When you connect a third-party account, you authorize SoloAce to access information within the scope of permissions that you approve.

SoloAce will not intentionally access information beyond the permissions granted by you.

Third-party services are governed by their own terms, privacy policies, availability, and technical requirements. SoloAce is not responsible for the operation or availability of third-party services.

5. Google Services

SoloAce may integrate with Google services such as Gmail, Google Calendar, Google Drive, and Google Contacts.

Access to Google services is provided through Google OAuth and is subject to the permissions approved by the user.

Depending on the features enabled and permissions granted, SoloAce may use authorized Google information to provide functionality such as:

Identifying relevant business communications;
Highlighting tasks, deadlines, or follow-ups;
Displaying or analyzing calendar events;
Supporting scheduling workflows;
Locating, summarizing, or analyzing authorized documents;
Organizing relevant professional contacts; and
Generating user-requested business insights or recommendations.

Users may revoke SoloAce's Google access through their Google Account settings.

6. AI-Generated Content and Recommendations

SoloAce uses artificial intelligence and automated systems to generate summaries, recommendations, classifications, analyses, forecasts, or other outputs.

AI systems may occasionally generate inaccurate, incomplete, outdated, or inappropriate information.

You are responsible for reviewing AI-generated outputs before relying on them or taking consequential actions.

SoloAce does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated information.

7. Decision Support, Not Professional Advice

SoloAce is designed as a business productivity and decision-support tool.

Unless expressly stated otherwise, SoloAce does not provide professional legal, financial, investment, accounting, tax, medical, or other regulated professional advice.

AI-generated recommendations should not be treated as a substitute for qualified professional advice where such advice is appropriate.

Users remain responsible for their business decisions and actions.

8. User Content

You may submit information, documents, instructions, business data, or other content to SoloAce ("User Content").

You retain ownership of your User Content.

You grant SoloAce the limited rights necessary to process User Content for the purpose of operating, maintaining, securing, and providing the Service and the features you request.

You represent that you have the necessary rights and permissions to provide any User Content submitted to SoloAce.

9. Acceptable Use

You agree not to use SoloAce to:

Violate applicable laws or regulations;
Infringe intellectual property, privacy, or other rights;
Gain unauthorized access to systems or accounts;
Distribute malware or malicious software;
Circumvent security or access controls;
Interfere with the operation of the Service;
Conduct fraudulent or deceptive activities;
Impersonate another person or organization without authorization;
Process information that you do not have the legal right to access or use; or
Use SoloAce in a manner that creates unreasonable security or operational risks.

We may restrict or suspend access where reasonably necessary to protect SoloAce, its users, third parties, or the security of the Service.

11. Security

SoloAce uses reasonable technical and organizational safeguards intended to protect information processed through the Service.

Users are responsible for maintaining appropriate security practices for their own devices, accounts, credentials, and connected third-party services.

12. Subscription and Paid Services

SoloAce may offer free, subscription-based, usage-based, credit-based, or other paid plans.

Where paid services are offered, pricing and applicable terms will be presented before purchase.

Unless otherwise stated at the time of purchase, users are responsible for applicable taxes and fees.

Except for User Content and third-party materials, SoloAce and its associated software, interface, design, branding, technology, and original content are owned by SoloAce Tech or its applicable licensors.

These Terms do not transfer ownership of SoloAce intellectual property to users.

You may use the Service only as permitted by these Terms.

14. Service Availability and Changes

SoloAce is under continuous development.

We may add, modify, suspend, or discontinue features where reasonably necessary for technical, security, legal, or business reasons.

We do not guarantee that every feature or third-party integration will remain continuously available.

Beta, prototype, experimental, or preview features may change or be discontinued without notice.

15. Disclaimer of Warranties

To the extent permitted by applicable law, SoloAce is provided on an "as is" and "as available" basis.

We do not guarantee that the Service will always be uninterrupted, error-free, secure, or suitable for every business purpose.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable consumer protection laws.

16. Limitation of Liability

To the maximum extent permitted by applicable law, SoloAce will not be liable for indirect, incidental, special, consequential, or similar damages arising from use of or inability to use the Service.

SoloAce is not responsible for business decisions made solely in reliance on AI-generated outputs.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law, including liability that cannot be excluded under applicable consumer protection laws.

17. Suspension and Termination

Users may stop using SoloAce at any time.

We may suspend or terminate access where reasonably necessary because of:

Material violation of these Terms;
Fraudulent or unlawful activity;
Security risks;
Abuse of the Service; or
Legal or regulatory requirements.

Where appropriate and legally required, reasonable notice may be provided.

18. Changes to These Terms

We may update these Terms as SoloAce evolves or as legal, regulatory, technical, or operational requirements change.

The latest version will be published on this page with an updated "Last Updated" date.

Material changes may also be communicated through the Service or other appropriate channels.

19. Governing Law

These Terms are governed by applicable law, subject to any mandatory consumer protection or other statutory rights that apply to the user.

If SoloAce Tech establishes or operates through a specific legal entity, the applicable governing law and jurisdiction may be updated accordingly.
